Terms of Service

Ceety Systems provides enterprise software and professional services focused on platform implementation, compliance-first AI, automation, cloud & DevSecOps, and data analytics. We operate globally from:

Our Services include, but are not limited to:

• The Ceety Systems marketing site and client consultation portal;
• Hosted CMS and data services (e.g., Directus-based environments on AWS Fargate/RDS/S3);
• Custom integrations with approved third-party systems such as GoHighLevel, AWS SES/SQS, and related APIs;
• Consulting, implementation, and managed cloud support engagements.

Access to certain components may require registration or acceptance of a separate Master Services Agreement (MSA) or Statement of Work (SOW).

4.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements.

4.2 Acceptable Use

You agree not to:

• Interfere with or disrupt Ceety Systems' servers, networks, or hosted applications;
• Reverse engineer, decompile, or attempt to extract source code;
• Upload malicious code, spam, or unauthorized data;
• Use the Services to violate any law, regulation, or third-party right;
• Misrepresent your identity, affiliation, or authorization when communicating with Ceety Systems.

4.3 Account Responsibilities

You are responsible for safeguarding credentials, configurations, or API keys provided by Ceety Systems. Notify us immediately of any unauthorized access.

We handle data in accordance with our Privacy Policy and applicable regulations including GDPR, CCPA, HIPAA, and SOX where relevant to your engagement.

All customer and project data hosted on Ceety Systems infrastructure (e.g., AWS Amplify, ECS, RDS, S3, CloudFront) are stored in compliance-ready environments with encryption in transit and at rest.

6.1 Ownership

All content, software, source code, logos, and materials available through the Services are owned by or licensed to Ceety Systems and protected by copyright, trademark, and other IP laws.

6.2 Client Materials

You retain ownership of all client-provided data, documents, and configurations uploaded through our systems. By submitting them, you grant Ceety Systems a non-exclusive, limited-term license to process, store, and use that data solely to deliver contracted services.

6.3 Feedback

Any feedback or suggestions you provide may be used by Ceety Systems without obligation or compensation.

Our Services may integrate with third-party platforms such as AWS, GoHighLevel, or analytics providers. We do not control and are not responsible for third-party content, terms, or privacy practices. Your use of such integrations is subject to those third-party terms.

We strive to maintain high uptime and reliability. However, we do not guarantee uninterrupted operation. Temporary downtime may occur for maintenance, upgrades, or unforeseen circumstances.

Ceety Systems reserves the right to modify, suspend, or discontinue Services with reasonable notice, except where prohibited by an active MSA/SOW.

For paid services, fees are defined in your MSA, subscription agreement, or invoice. Payment terms, renewal cycles, and taxes will be specified therein. Late payments may incur interest and result in suspended access.

Ceety Systems implements strong technical and organizational safeguards, including:

• AWS IAM least-privilege roles
• Encryption (TLS 1.2+, AES-256)
• Web Application Firewall (WAF)
• Continuous monitoring and audit logging

You agree to cooperate in maintaining security by using complex passwords, securing integrations, and notifying Ceety Systems of any breach or vulnerability.

To the fullest extent permitted by law:

• Ceety Systems shall not be liable for indirect, incidental, or consequential damages, including lost profits, data loss, or downtime;
• Our total liability under these Terms shall not exceed the fees paid for the applicable service during the preceding 12 months;
• Nothing in this clause limits liability for gross negligence, willful misconduct, or statutory violations.

You agree to defend, indemnify, and hold harmless Ceety Systems and its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Services, breach of these Terms, or violation of law or third-party rights.

Ceety Systems may terminate or suspend access for cause, including breach of these Terms, non-payment, or legal obligation.

Upon termination:

• You must cease using the Services;
• Ceety Systems may delete stored data after 30 days unless otherwise agreed in writing.

These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law.

Any dispute will first be attempted through good-faith negotiation. If unresolved, the matter will be submitted to binding arbitration in Hillsborough County, Florida under the rules of the American Arbitration Association (AAA).

If you access our Services from outside the United States, you are responsible for compliance with local laws and export controls applicable to your jurisdiction.

Ceety Systems may update these Terms from time to time to reflect operational, legal, or regulatory changes. Updates become effective upon posting to this page with a new "Last Updated" date.

Continued use of the Services after changes constitutes acceptance.
